We maintain strict confidentiality of client information in accordance with professional standards and applicable laws.

5. Fees and Payment

5.1 Service Fees

Fees for our services will be outlined in individual engagement letters or quotations. All fees are exclusive of applicable VAT unless otherwise stated.

5.2 Payment Terms

Payment terms will be specified in your engagement letter. Late payments may be subject to interest charges as permitted by UAE law.

5.3 Third-Party Costs

You are responsible for payment of any third-party fees, government charges, or other costs incurred in connection with our services.

6. Intellectual Property Rights

All content on our website, including text, graphics, logos, and software, is the property of Agile Financials or its licensors and is protected by UAE and international copyright and trademark laws.

Work products created specifically for you as part of our services will be governed by the terms of your engagement letter.

7. Limitation of Liability

To the maximum extent permitted by UAE law, Agile Financials shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to our services.

Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Agile Financials, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms or your use of our services.

9. Termination

We reserve the right to terminate or suspend your access to our services at our discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to our business or other users.

Termination of specific service engagements will be governed by the terms of your engagement letter.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

10.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

10.3 Arbitration

Where applicable and agreed upon in an engagement letter, disputes may be resolved through arbitration in accordance with UAE arbitration laws.

11. Privacy

Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with any engagement letters and our Privacy Policy, constitute the entire agreement between you and Agile Financials regarding the use of our services.
